Your Rights

When it comes to your health information, you have certain rights. This section explains your rights and some of our responsibilities to help you.

Get an electronic or paper copy of your medical record

•      You can ask to see or get an electronic or paper copy of your medical record and other health information we have about you. Ask us how to do this.

•      We will provide a copy or a summary of your health information, usually within 30 days of your request. We may charge a reasonable, cost-based fee.

Ask us to correct your medical record

•      You can ask us to correct health information about you that you think is incorrect or incomplete. Ask us how to do this.

•      We may say “no” to your request, but we’ll tell you why in writing within 60 days.

Request confidential communications

•      You can ask us to contact you in a specific way (for example, home or office phone) or to send mail to a different address.

•      We will say “yes” to all reasonable requests.

Ask us to limit what we use or share

•      You can ask us not to use or share certain health information for treatment, payment, or our operations. We are not required to agree to your request, and we may say “no” if it would affect your care.

•      If you pay for a service or health care item out-of-pocket in full, you can ask us not to share that information for the purpose of payment or our operations with your health insurer. We will say “yes” unless a law requires us to share that information.

Get a list of those with whom we’ve shared information

•      You can ask for a list (accounting) of the times we’ve shared your health information for six years prior to the date you ask, who we shared it with, and why.

•      We will include all the disclosures except for those about treatment, payment, and health care operations, and certain other disclosures (such as any you asked us to make). We’ll provide one accounting a year for free but will charge a reasonable, cost-based fee if you ask for another one within 12 months.

Get a copy of this privacy notice

You can ask for a paper copy of this notice at any time, even if you have agreed to receive the notice electronically. We will provide you with a paper copy promptly.

Choose someone to act for you

•      If you have given someone medical power of attorney or if someone is your legal guardian, that person can exercise your rights and make choices about your health information.

•      We will make sure the person has this authority and can act for you before we take any action.

File a complaint if you feel your rights are violated

Your Choices

For certain health information, you can tell us your choices about what we share. If you have a clear preference for how we share your information in the situations described below, talk to us. Tell us what you want us to do, and we will follow your instructions.

In these cases, you have both the right and choice to tell us to:

•      Share information with your family, close friends, or others involved in your care

•      Share information in a disaster relief situation

If you are not able to tell us your preference, for example if you are unconscious, we may go ahead and share your information if we believe it is in your best interest. We may also share your information when needed to lessen a serious and imminent threat to health or safety.

In these cases we never share your information unless you give us written permission:

•      Most sharing of psychotherapy notes

In the case of fundraising:

•      We may contact you for fundraising efforts, but you can tell us not to contact you again.


Our Uses and Disclosures

How do we typically use or share your health information?

We typically use or share your health information in the following ways.

Treat you

We can use your health information and share it with other professionals who are treating you.

Example: A doctor treating you for an injury asks another doctor about your overall health condition.


Run our organization

We can use and share your health information to run our practice, improve your care, and contact you when necessary.

Example: We use health information about you to manage your treatment and services.


Bill for your services

We can use and share your health information to bill and get payment from health plans or other entities.

Example: We give information about you to your health insurance plan so it will pay for your services.


How else can we use or share your health information?

We can share health information about you for certain situations such as:

Our Responsibilities

Helios operates a wellness center which it markets through, and other related proprietary websites, databases, email communications and printed publications (collectively, the “System”).


All access to and use of the System is subject to the terms and conditions in this document (including any other terms, agreements and documents that are linked or referred to below) and in any separate or supplemental terms of use agreement that may be referenced or linked within (collectively, the “Terms of Use”). By accessing, viewing or using any page, part or component of the System, a user (“User”) agrees to be contractually bound by the Terms of Use.

By using the Website, you accept and agree to be bound and abide by these Terms of Use and our Privacy Policy, incorporated herein by reference. A. License Grant


Helios grants Users a nonexclusive, personal, nontransferable, revocable, limited license to access and use the System only in accordance with the Terms of Use. Users’ binding obligations under the Terms of Use are in consideration of Helios’s grant of license to use the System.


The System includes all videos, audio, scripts, modular narrative system, text, images, html, data, databases, email messages, advertisements and other contents, resources, materials, know-how and services produced, published, displayed, distributed or provided by Helios in, on or through the System and all software and other technology hosted or used by Helios (collectively, the "Materials").



B. User Contributions


The Website may contain message boards, feedback and idea widgets, surveys, chat rooms, personal web pages or profiles, forums, bulletin boards, and other interactive features (collectively, "Interactive Services") that allow users to post, submit, publish, display or transmit to other users or other persons (hereinafter, "Post") content or materials (collectively, "User Contributions") on or through the Website.


Any User Contribution you post to the site, to the site's owners or affiliates will be considered non-confidential and non-proprietary. By providing any User Contribution on or through the Website or via other channels created by Helios including but not limited to email addresses, surveys, or written or oral feedback of any form, you grant us, our affiliates and service providers, and each of their and our licensees, successors and assigns, the right to use, reproduce, modify, perform, display, distribute and otherwise disclose to third parties any such material.


You represent and warrant that:

  1. You own or control all rights in and to the User Contributions and have the right to grant the license granted above to us and our affiliates and service providers, and each of their licensees, successors and assigns.

You understand and acknowledge that you are responsible for any User Contributions you Post, and you, not the Company, have fully responsibility for such content, including its legality, reliability, accuracy and appropriateness.


We are not responsible, or liable to any third party, for the content or accuracy of any User Contributions Posted by you or any other user of the Website.


C. Proprietary Rights

The Website and its entire contents, features and functionality (including but not limited to all information, software, text, displays, images, video and audio, and the design, selection and arrangement thereof), are owned by Helios, its licensors or other providers of such material and are protected by United States and international copyright, trademark, patent, trade secret and other intellectual property or proprietary rights laws. Helios owns and uses certain registered and unregistered service marks, trademarks, slogans, logos, symbols, graphics and distinctive trade dress in connection with the System (the "Marks").


Except for the limited rights granted to Users in the Terms of Use, all rights, title, and interest in the Materials and Marks, in all languages, formats and media throughout the world, including all copyrights, are and will continue to be the exclusive property of Helios, its affiliates and their licensors. The Terms of Use do not grant Users any right or license with respect to the Materials or Marks except to the minimum extent necessary to exercise the limited license provided in Section A of this Agreement.


These Terms of Use permit you to use the Website for your personal, non-commercial use only. You must not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store or transmit any of the material on our Website without the express written consent of Helios.


If you print, copy, modify, download or otherwise use or provide any other person with access to any part of the Website in breach of the Terms of Use, your right to use the Website will cease immediately and you must, at our option, return or destroy any copies of the materials you have made. No right, title or interest in or to the Website or any content on the Website is transferred to you, and all rights not expressly granted are reserved by the Company. Any use of the Website not expressly permitted by these Terms of Use is a breach of these Terms of Use and may violate copyright, trademark and other laws.


All brand names and other trademarks used with the System are strictly for educational purposes and do not constitute an endorsement of any product or treatment method. All depictions, names, and stories contained in videos, audio, and text in the System are fictitious, any resemblance to any other persons, real or fictional, is purely coincidental.


D. Prohibited Activities

Without limitation to any other restriction, obligation or condition in the Terms of Use, Users shall not, under any circumstances by any means or for any purpose whatsoever, intentionally or unintentionally do or attempt to do any of the following:


  1. interfere with any other User's access, use or enjoyment of the System;

  2. exploit, harm or attempt to exploit or harm minors in any way by exposing them to inappropriate content, asking for personally identifiable information or otherwise;

  3. use the System or Materials in a manner contrary to or in violation of any applicable law, regulation or rule of any jurisdiction, governmental agency or securities exchange;

  4. use the System or Materials to store, distribute or transmit any material without authority or right to do so or in violation of any contractual or fiduciary duty, or that is otherwise unlawful, harmful, threatening, defamatory, obscene, harassing, disparaging of any person or group on the basis of race, ethnicity, religion, age, gender or sexual orientation;

  5. access or use any content, materials or services not intentionally published or otherwise made available by Helios;

  6. reverse compile, disassemble, reverse engineer or otherwise seek to discover the source code form of any Helios software or other technology, except as may be allowed by applicable law which is incapable of exclusion by agreement between the parties;

  7. introduce any virus, denial of service attack or other potentially harmful or malicious software code or device into the System or Materials, or use the System in any manner that might destroy, damage or degrade performance of any data communications facility, network, server, system, component, software or data used to deliver the System;

  8. exploit any System or Materials to Helios’s commercial disadvantage, other than with Helios’s prior written consent;

  9. use Helios’s websites or email addresses or other contact information gathered through use of the System, in any way to distribute any advertising, solicitations or other commercial messages;

  10. use any network software, device or manual process to monitor, download or copy Helios’s websites, the System or Materials, to extract information concerning usage or individual Users or to collect email addresses for any purpose;

  11. transfer, either permanently or temporarily, any rights or obligations under these Terms of Use.


E. User Information and Privacy Policy


In providing the Services, Helios shall conform to its Privacy Policy, posted on the Helios websites, as such Privacy Policy may be amended by Helios from time to time, with respect to data and information of User ("User Information").


To access the Website or some of the resources it offers, you may be asked to provide certain registration details or other information. It is a condition of your use of the Website that all the information you provide on the Website is correct, current and complete. You agree that all information you provide to register with this Website or otherwise, including but not limited to through the use of any interactive features on the Website, is governed by our Privacy Policy, and you consent to all actions we take with respect to your information consistent with our Privacy Policy.


Subject to the Privacy Policy, User hereby expressly consents to collection, use, reproduction, hosting, transmission and disclosure of any User Information by Helios and its affiliates, and their employees and contractors, as Helios deems reasonably necessary or expedient for the purpose of providing the System.


Subject to the Privacy Policy, Users hereby consent to receive email from Helios. Users acknowledge that notices posted on the Helios websites or sent to Users by email satisfy any legal requirement that notices be in writing.


If you choose, or are provided with, a user name, password or any other piece of information as part of our security procedures, you must treat such information as confidential, and you must not disclose it to any other person or entity. You also acknowledge that your account is personal to you and agree not to provide any other person with access to this Website or portions of it using your user name, password or other security information. You agree to notify us immediately of any unauthorized access to or use of your username or password or any other breach of security. You also agree to ensure that you exit from your account at the end of each session. You should use particular caution when accessing your account from a public or shared computer so that others are not able to view or record your password or other personal information.


We have the right to disable any username, password or other identifier, whether chosen by you or provided by us, at any time if, in our opinion, you have violated any provision of these Terms of Use.


F. No Psychiatric Services

Helios’s wellness services are a distinct offering and entirely separate from the medical services offered by Helios Psychiatry, Inc, Dr. Jennifer Dore, and Helios’s medically trained providers. The services offered by Helios Wellness’s contracted providers, including but not limited to yoga instruction, fitness instruction, music and sound therapy, massage and acupuncture are not medical services.  Any advice, consultation and treatment course indicated by Helios’s non-medical providers should be understood as entirely voluntary, and not at all part of any formal, medical treatment course.

Nothing in the Helios System or Materials or in these Terms of Use, if applicable, nor any receipt or use of the Helios System, shall be construed or relied on as psychiatric services, advice or opinion whatsoever on behalf of Helios or its affiliates.


G. Third-Party Materials


Helios’s websites may contain sponsored services and advertising, as well as links to third-party websites and services (“Third-Party Materials”). Users acknowledge that the Third-Party Materials are not part of the System for purposes of this Agreement, and that Helios shall have no responsibility or liability for the content or legality of any Third-Party Materials or for the practices of the respective third-party sponsors, advertisers and publishers.


H. Warranty Disclaimers and Exclusion of Liability









I. Governing Law; Jurisdiction and Venue

Any claim, action, suit, proceeding or dispute arising out of these Terms of Use shall in all respects be governed by, and interpreted in accordance with, the substantive laws of the State of California, without regard to the conflicts of laws provisions thereof. The parties hereby consent, acknowledge and agree that venue and jurisdiction for any action, suit or proceeding arising out of these Terms of Use shall vest exclusively in the federal or state courts of general jurisdiction located in San Mateo County, California.


J. Amendment and Waiver; Severability


Helios may update or otherwise amend these Terms of Use at any time without notice. Users are bound by the Terms of Use then in effect each time they access, use or view the System. No waiver of any right or remedy on one occasion by Helios shall be deemed a waiver of such right or remedy on any other occasion. In the event that any provision of the Terms of Use is held by a court of competent jurisdiction to be invalid or unenforceable for any reason, such provision shall be eliminated or limited to the minimum extent such that the remaining provisions of the Terms of Use will continue in full force and effect.


K. Indemnity


You agree to indemnify, defend, and hold Helios and its affiliates, and their respective owners, directors, officers, employees, shareholders, agents, suppliers, customers and users of the Content (“Party”) harmless from and against any and all claims, liability, losses, costs and expenses (including legal fees) incurred by any Party as a result of or in connection with (i) any breach by you of any of the provisions of these Terms of Use; (ii) any violation by you of applicable law; (iii) any violation by you of any rights of a third party; and (iv) any use or alleged use of the System or Materials by you or anyone within your control.

Helios reserves the right, at your expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, and in such case, you agree to cooperate with Helios’s defense of such claim. Helios may deduct its costs of obtaining any recovery from the amount of the recovery (including, without limitation, reasonable attorneys' fees and all other costs).


L. Entire Agreement


The Terms of Use and our Privacy Policy constitute the sole and entire agreement between you and Helios with respect to the Website and supersede all prior and contemporaneous understandings, agreements, representations and warranties, both written and oral, with respect to the Website.
